1. Introduction

Welcome to Passo.

These Terms & Conditions ("Terms") govern your access to and use of the Passo website, mobile applications, and related services ("Platform").

By accessing or using Passo, you agree to be legally bound by these Terms. If you do not agree with any part of these Terms, you must not use our Platform.

2. About Passo

Passo is an online marketplace that connects learner drivers with independent Approved Driving Instructors (ADI) and Potential Driving Instructors (PDI).

Passo is not a driving school and does not directly provide driving lessons. Driving lessons are provided solely by independent instructors using our Platform.

3. Eligibility

To use Passo you must:

1. Be at least 17 years old or legally permitted to learn to drive in the UK.
2. Provide accurate information during registration.
3. Keep your account details secure.
4. Not impersonate another person.
5. Use the Platform lawfully.

We reserve the right to suspend or terminate accounts that violate these Terms.

4. User Accounts

You are responsible for:

1. Keeping your login credentials secure.
2. All activity carried out using your account.
3. Ensuring your information remains accurate and up to date.

You must notify us immediately if you believe your account has been accessed without permission.

5. Instructor Accounts

Driving instructors using Passo must:

1. Hold valid ADI or PDI qualifications where required.
2. Maintain valid insurance.
3. Keep licence and verification documents up to date.
4. Provide accurate pricing and availability.
5. Deliver lessons professionally and safely.

Passo may suspend or remove instructor accounts that fail to meet our standards.

6. Lesson Requests and Bookings

Learners may submit lesson requests through the Platform.

Instructors may accept or decline requests.

A booking becomes confirmed only after payment has been successfully authorised.

Passo does not guarantee that every lesson request will receive an instructor.

7. Payments

Payments are processed securely using Stripe.

By making a payment you authorise Stripe to charge your selected payment method.

Passo may:

1. Hold payments securely in escrow.
2. Deduct applicable platform fees.
3. Release instructor payments after booking completion according to our payout policy.

Passo never stores full payment card details.

8. Instructor Payouts

Instructor payouts are processed after lesson completion and subject to:

1. Successful payment collection.
2. No active disputes.
3. Completion of required verification.
4. Compliance with applicable laws.

Passo may delay payouts where fraud, disputes, or suspicious activity is detected.

9. Cancellations and Refunds

Cancellation and refund eligibility depends on:

1. Time before the scheduled lesson.
2. Instructor cancellation policies.
3. Platform policies.
4. Applicable consumer protection laws.

Where appropriate, refunds will be processed back to the original payment method.

Platform service fees may be non-refundable where permitted by law.

10. Reviews

Learners may leave reviews after completed bookings.

Reviews must:

1. Be truthful.
2. Be based on genuine experiences.
3. Not contain offensive, abusive, discriminatory, or defamatory content.

Passo reserves the right to remove reviews that violate these Terms.

11. User Conduct

You agree not to:

1. Break any applicable law.
2. Harass or abuse other users.
3. Upload harmful software.
4. Attempt to hack or interfere with the Platform.
5. Create fake accounts.
6. Misrepresent your identity.
7. Circumvent payments through Passo where required.

Violations may result in account suspension or permanent removal.

12. Communications

By creating an account you agree that Passo may send:

1. Booking confirmations
2. Payment notifications
3. Security alerts
4. Account verification messages
5. Customer support communications

Marketing communications will only be sent where permitted by law and may be opted out of at any time.

13. Intellectual Property

All content on Passo, including:

1. Logos
2. Branding
3. Software
4. Graphics
5. Design
6. Text
7. Images

is owned by Passo or its licensors and is protected by applicable intellectual property laws.

You may not copy, modify, distribute, or reproduce any content without our written permission.

14. Privacy

Your use of Passo is also governed by our Privacy Policy.

By using the Platform, you consent to the collection and processing of your personal information as described in that policy.

15. Third-Party Services

Passo integrates with third-party providers including:

1. Stripe
2. Google
3. WhatsApp

These services operate under their own terms and privacy policies.

Passo is not responsible for the services provided by these third parties.

16. Availability

We aim to keep the Platform available at all times.

However, we cannot guarantee uninterrupted access.

We may suspend access temporarily for:

1. Maintenance
2. Security updates
3. Technical issues
4. Legal compliance

17. Limitation of Liability

To the maximum extent permitted by law, Passo shall not be liable for:

1. Loss of profits
2. Loss of income
3. Indirect or consequential losses
4. Missed bookings
5. Instructor performance
6. Learner conduct
7. Technical interruptions
8. Delays caused by third-party providers

Nothing in these Terms excludes liability that cannot legally be excluded under UK law.

18. Indemnity

You agree to indemnify and hold Passo harmless against claims, losses, liabilities, damages, and expenses arising from:

1. Your misuse of the Platform.
2. Your breach of these Terms.
3. Your violation of applicable laws.
4. Your infringement of another person's rights.

19. Account Suspension and Termination

Passo may suspend or terminate your account if you:

1. Breach these Terms.
2. Engage in fraudulent activity.
3. Provide false information.
4. Abuse other users.
5. Attempt to bypass the Platform.

You may close your account at any time by contacting our support team.

20. Changes to These Terms

We may update these Terms from time to time.

When significant changes are made, we will notify users through the Platform or by email where appropriate.

Continued use of Passo after changes become effective constitutes acceptance of the updated Terms.

21. Governing Law

These Terms are governed by the laws of England and Wales.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
